Terms of Service for Use of Raw Photographs

1. Grant of License
You (“Client”) are granted a non-exclusive, non-transferable license to use the raw photographs captured by Piksels (“Photographer”) solely for commercial use

2. Ownership & Copyright
All rights, including copyright and ownership, remain with the Photographer. The Client does not acquire ownership of the raw images. Any modifications, edits, or derivatives must be approved by the Photographer unless otherwise agreed upon in writing.

3. Permitted & Restricted Uses

• Permitted Uses: The Client may use the raw images to edit and use for commercial and advertising purposes.

• Restricted Uses: The Client may not resell, redistribute, claim authorship, or use the images in ways that violate ethical or legal guidelines.

4. Attribution & Credit
When applicable, the Client must provide proper attribution to the Photographer in publications or online usage.

5. Liability & Indemnification
The Photographer is not liable for any claims arising from the Client’s use of the raw images. The Client agrees to indemnify the Photographer against any legal disputes resulting from unauthorized or improper usage.

6. Payment & Fees
Usage rights are granted upon full payment of agreed-upon fees. Failure to complete payment may result in revocation of usage rights.

7. Termination
The Photographer reserves the right to terminate this agreement if the Client breaches any terms herein.

8. Governing Law
This agreement shall be governed by the laws of Canada, and any disputes shall be resolved in the appropriate courts.
